Welcome to Stok Metrics. These Terms of Service govern your access to and use of the Stok Metrics website, application, software, tools, reports, forecasts, purchase-planning features, CSV templates, and related services (collectively, the "Service").
By creating an account, starting a trial, uploading data, or using Stok Metrics, you agree to these Terms. If you do not agree, please do not use the Service.
1. About Stok Metrics
Stok Metrics is an inventory forecasting and reorder-planning tool for ecommerce sellers, marketplace sellers, and small multichannel merchants.
The Service helps users upload sales, inventory, product, and supplier data; review forecasts; evaluate reorder suggestions; adjust order quantities; generate purchase order drafts; and track confirmed incoming stock.
Stok Metrics is designed solely to support inventory planning decisions. It does not replace your own business judgment, supplier relationships, accounting systems, marketplace systems, or professional advice.
2. Who May Use the Service; Geographic Restrictions
You may use Stok Metrics only if you are at least 18 years old and have authority to accept these Terms on behalf of yourself or the business you represent.
You may not create an account or use the Service if you are located in, established in, or acting on behalf of a business located outside the United States, including the European Union, European Economic Area, United Kingdom, or Switzerland, unless Stok Metrics has approved your use in writing.
If you use Stok Metrics on behalf of a company or organization, "you" means both you and that company or organization.
3. Your Account
You are responsible for maintaining the confidentiality of your account login information and for all activity under your account.
You agree to provide accurate account information and to keep it updated. This includes your business name, business email, and an Account Contact Name, which we collect and use solely to facilitate communication regarding your business account, support inquiries, and service updates.
You must notify us promptly if you believe your account has been accessed without authorization.
4. Your Data and Aggregated Data Rights
You may upload or enter data into Stok Metrics, including sales history, inventory quantities, product information, supplier details, lead times, costs, purchase-planning information, and related business data ("User Data").
You retain ownership of your User Data.
You grant Stok Metrics a worldwide, non-exclusive, royalty-free license to use, host, store, and process your User Data to provide, maintain, secure, and support the Service.
Notwithstanding anything to the contrary, Stok Metrics may create and use anonymized, de-identified, and aggregated data derived from use of the Service to operate, improve, test, and enhance the Service, including improving forecasting models and creating non-identifying benchmarks, provided the Aggregated Data does not identify you, your business, your customers, or any individual.
You agree not to upload customer names, customer email addresses, customer phone numbers, shipping or billing addresses, payment card information, bank account information, Social Security numbers, tax identification numbers, government identification numbers, health information, children's data, biometric data, or other sensitive personal information unless Stok Metrics expressly agrees in writing.
You are responsible for ensuring that you have the right to upload and use the data you provide.
5. Forecasts, Recommendations, and Third-Party Platforms
Stok Metrics provides forecasts, reorder suggestions, buy-by dates, priority indicators, estimated quantities, supplier-planning information, and other outputs based on the data available to the Service.
THE SERVICE, INCLUDING ALL FORECASTS AND SUGGESTIONS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.
Actual demand, supplier performance, marketplace restrictions, shipping times, customer behavior, promotions, seasonality, product availability, and other business conditions will differ from the assumptions used by Stok Metrics.
You are solely responsible for reviewing recommendations and making final purchasing, pricing, stocking, supplier, and business decisions.
Stok Metrics relies on data uploads and, where applicable, any integrations we may support. We are not responsible or liable for any inaccuracies, data lag, or errors caused by independent third-party platforms.
Stok Metrics is explicitly not liable for stockouts, overstock, missed sales, dead inventory, supplier delays, inaccurate source data, marketplace suspensions, or purchasing decisions made based on the Service.
6. Purchase Order Drafts and Incoming Stock
Stok Metrics may allow you to generate purchase order drafts or supplier-ready order documents.
A PO draft is only a draft. It does not mean an order has been placed with your supplier.
Stock is treated as incoming only when you confirm that the supplier order was actually placed or when your uploaded data indicates inbound inventory.
You are responsible for reviewing all purchase order details, quantities, costs, supplier information, delivery dates, and terms before sending anything to a supplier.
Stok Metrics does not send orders to suppliers unless the Service specifically provides that feature and you authorize it.
7. CSV Imports, File Formatting, and Data Accuracy
Stok Metrics relies entirely on the accuracy, integrity, and formatting of the files and information you upload.
You are solely responsible for verifying that your CSV files, column mappings, inventory snapshots, sales exports, product lists, and supplier setup are correct, uncorrupted, and properly formatted according to our templates.
Stok Metrics does not independently verify your uploaded data.
If your CSV files contain outdated data, mathematical errors, duplicated rows, incorrect date formats, or mapping errors, the resulting forecasts and recommendations may be inaccurate or broken.
Stok Metrics is explicitly not liable for any business losses, over-ordering, or stockouts resulting from improperly formatted or inaccurate CSV uploads.
8. Subscriptions, Auto-Renewals, Billing, and Cancellation
Stok Metrics is offered as a paid subscription service.
Unless otherwise stated at checkout, the Standard plan is priced at $39 per month.
The Standard plan includes a 30-day free trial. The trial does not automatically convert to a paid subscription or charge you. You must affirmatively choose to begin a paid subscription to continue using paid features after the trial.
After you activate a paid subscription, ALL SUBSCRIPTIONS AUTOMATICALLY RENEW on a month-to-month basis unless you cancel your subscription before your next billing date.
After you activate a paid subscription, you authorize us, or our third-party payment processor, to charge your selected payment method automatically on each renewal date for the subscription fees plus any applicable taxes.
Except as required by law or expressly stated in writing by Stok Metrics, subscription fees are non-refundable and we do not provide prorated refunds for partial months.
You may cancel your subscription at any time through your account dashboard or by emailing support@stokmetrics.com. Cancellation will stop future automated billing.
We may change pricing, plan features, or billing terms in the future. If we do, we will provide notice where required, and the changes will apply as stated in the notice or at your next renewal.
9. Acceptable Use and Account Sharing
You agree to use the Service solely for your internal business inventory planning.
You may not:
- Use the Service for unlawful purposes.
- Share your login credentials.
- Allow multiple independent business entities to operate under a single subscription account.
- Interfere with the security or operational integrity of the Service.
- Upload malicious code, viruses, or corrupted CSV files.
- Reverse engineer, decompile, copy, resell, or exploit the Service.
- Use the Service, its outputs, interface layouts, or logic to build a competing product or service.
- Upload data that you do not have the right to use.
- Use automated scraping or abusive automated access without permission.
We reserve the right to immediately suspend or terminate your access without a refund if we suspect a violation of these rules.
10. Third-Party Software and Platforms
Stok Metrics processes data exported from third-party ecommerce platforms, marketplaces, payment systems, shipping software, or other systems.
Those platforms are entirely independent of Stok Metrics.
We are not responsible for the accuracy, export formats, schema updates, data corruption, platform fees, API behavior, or sudden changes made by third parties to their export files, CSV files, or other data formats which may cause our template mapping or processing to fail.
Your use of third-party platforms remains subject to their own terms and policies.
11. Privacy
Our collection and use of personal and business information is described in our Privacy Policy.
By using Stok Metrics, you agree to the data collection and processing practices described in our Privacy Policy.
12. Intellectual Property Rights
Stok Metrics, including the software, algorithms, forecasting logic, proprietary formulas, CSV templates, website interface, workflows, layouts, reports, designs, text, graphics, and related materials, is owned exclusively by Stok Metrics or its licensors.
These Terms grant you only a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business planning during an active subscription.
No intellectual property rights are transferred to you.
13. Feedback
If you provide suggestions, ideas, feature requests, comments, or feedback about Stok Metrics, you grant us an irrevocable, worldwide, royalty-free, perpetual license to use, implement, modify, and commercialize that feedback without restriction, credit, or compensation to you.
You agree that feedback you provide is voluntary and does not create any ownership claim in the Service.
14. Service Availability, Changes, and Data Retention Upon Cancellation
We aim to keep Stok Metrics reliable, but the Service is provided without guarantees of uninterrupted, error-free, or 100% continuous availability.
We reserve the right to modify, update, change calculations, or discontinue features of the Service at any time.
Upon the cancellation or termination of your subscription, Stok Metrics is under no obligation to maintain or host your uploaded CSV history or generated forecasts.
We reserve the right to permanently delete all data associated with your account thirty (30) days after your subscription ends. It is your sole responsibility to export or save your data before cancellation.
Deletion from backups, billing records, legal records, security logs, and other limited records may occur according to the retention rules described in our Privacy Policy.
15. Beta or Early Access Features
Some features may be labeled beta, preview, early access, experimental, or similar.
These features may be changed, limited, or removed at any time and may be less reliable than general-release features.
You acknowledge that beta features are inherently unstable, and you agree to review all outputs from beta features with extreme care before relying on them for business decisions.
If you participate in an early access, beta, pilot, preview, or founding seller program, your use may also be subject to separate Early Access Program Terms.
16. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE FULLEST EXTENT PERMITTED BY LAW, STOK METRICS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.
STOK METRICS DOES NOT GUARANTEE THAT FORECASTS, REORDER SUGGESTIONS, PO DRAFTS, STOCKOUT WARNINGS, PRIORITY INDICATORS, OR REPORTS WILL BE ACCURATE, COMPLETE, TIMELY, OR SUITABLE FOR YOUR SPECIFIC BUSINESS OR REGULATORY COMPLIANCE.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, STOK METRICS, ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, OR AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST SALES, LOST DATA, BUSINESS INTERRUPTION, STOCKOUTS, OVERSTOCK, SUPPLIER DELAYS, INVENTORY CORRUPTION, OR LOST BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, STOK METRICS' TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00 USD), OR (B) THE TOTAL AMOUNT YOU ACTUALLY PAID TO STOK METRICS FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE EXISTENCE OF MULTIPLE CLAIMS WILL NOT ENLARGE THIS LIMIT.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
18. Indemnification
You agree to defend, indemnify, and hold harmless Stok Metrics, its owners, officers, employees, contractors, service providers, and agents from and against any third-party claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
- Your use or misuse of the Service.
- Your uploaded CSV data or other User Data.
- Your violation of these Terms.
- Your violation of applicable law.
- Your violation of another party's rights.
- Your purchasing, supplier, pricing, inventory ordering, or business decisions.
19. Termination
You may stop using Stok Metrics and cancel your subscription at any time.
We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, create operational risk for the Service, or use the Service in a way that may harm Stok Metrics or others.
Upon termination, your right to use the Service ends immediately.
All sections of these Terms which by their nature should survive termination will survive, including ownership, data rights, disclaimers, limitation of liability, indemnification, and dispute resolution.
20. Dispute Resolution; Mediation and Arbitration
Please read this section carefully. It affects how disputes between you and Stok Metrics will be resolved.
20.1 Good-Faith Informal Resolution
Before filing a formal legal claim, both parties agree to try to resolve the dispute informally.
The party raising the dispute must send written notice describing the issue, the facts, and the requested resolution.
Notices to Stok Metrics must be sent to legal@stokmetrics.com. Notices to you will be sent to the email address associated with your account.
The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after notice is received.
20.2 Mediation
If the dispute is not resolved through informal discussions, the parties agree to submit the dispute to non-binding mediation before filing arbitration or litigation.
Unless the parties agree otherwise, mediation will be conducted remotely via video conference, or in Travis County, Texas, through a mutually agreed mediator.
Each party will bear its own costs and attorneys' fees for mediation, and mediator fees will be shared equally.
20.3 Binding Arbitration
If mediation does not resolve the dispute within sixty (60) days after a mediator is appointed, either party may submit the dispute to final and binding arbitration.
To minimize costs, if the total claim amount is under $25,000 USD, the arbitration must be resolved strictly through online, document-only submission arbitration, such as FairClaims or an equivalent online dispute platform.
For claims exceeding $25,000 USD, the arbitration will be administered remotely or in Travis County, Texas, by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration will be conducted by one neutral arbitrator.
The arbitrator's award will be final and binding and may be entered in any court of competent jurisdiction.
20.4 Individual Claims Only; Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ONLY ON AN INDIVIDUAL BASIS.
NEITHER YOU NOR STOK METRICS MAY BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate claims of multiple users or preside over any class, collective, consolidated, or representative proceeding unless both parties agree in writing.
20.5 Exceptions
Nothing in this section prevents either party from:
- Filing a claim in small claims court in Travis County, Texas if the claim qualifies.
- Seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, trade secrets, data security, or unauthorized use of the Service.
- Seeking payment of undisputed amounts owed.
- Reporting issues to government agencies where legally permitted.
20.6 Governing Law for Arbitration
This dispute resolution section will be governed by the Federal Arbitration Act to the extent applicable. Otherwise, it will be governed by the laws stated in the Governing Law and Venue section of these Terms.
20.7 Survival
This dispute resolution section will survive termination of your account, subscription, or access to the Service.
21. Governing Law and Venue
These Terms, and any dispute arising out of them, are governed exclusively by the laws of the State of Texas, USA, without regard to conflict-of-law rules.
For any disputes not subject to arbitration or small claims court, both parties explicitly consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.
22. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide notice by posting the updated Terms on our site, sending an email, or displaying an in-app notice.
Your continued use of the Service after the updated Terms become effective constitutes acceptance of the updated terms.
