Welcome to Stok Metrics. These Terms of Service govern your access to and use of the Stok Metrics website, application, software, tools, reports, forecasts, purchase-planning features, CSV templates, and related services.
By creating an account, starting a trial, uploading data, or using Stok Metrics, you agree to these Terms. If you do not agree, please do not use the Service.
1. About Stok Metrics
Stok Metrics is an inventory forecasting and reorder-planning tool for ecommerce sellers, marketplace sellers, and small multichannel merchants.
The Service helps users upload sales, inventory, product, and supplier data; review forecasts; evaluate reorder suggestions; adjust order quantities; generate purchase order drafts; and track confirmed incoming stock.
Stok Metrics is designed to support inventory planning decisions. It does not replace your own business judgment, supplier relationships, accounting systems, marketplace systems, or professional advice.
2. Who May Use the Service
You may use Stok Metrics only if you are at least 18 years old and have authority to accept these Terms on behalf of yourself or the business you represent.
If you use Stok Metrics on behalf of a company or organization, “you” means both you and that company or organization.
3. Your Account
You are responsible for maintaining the confidentiality of your account login information and for all activity under your account.
You agree to provide accurate account information and to keep it updated.
You must notify us promptly if you believe your account has been accessed without authorization.
4. Your Data
You may upload or enter data into Stok Metrics, including sales history, inventory quantities, product information, supplier details, lead times, costs, purchase-planning information, and related business data.
You retain ownership of your data.
You grant Stok Metrics permission to use your data only as needed to provide, maintain, secure, improve, and support the Service. This includes processing your data to generate forecasts, reorder suggestions, reports, PO drafts, and related planning outputs.
You are responsible for ensuring that you have the right to upload and use the data you provide.
Please do not upload sensitive personal information, payment card numbers, government identification numbers, health information, or other information that is not needed for inventory planning.
5. Forecasts and Recommendations
Stok Metrics provides forecasts, reorder suggestions, buy-by dates, priority indicators, estimated quantities, supplier-planning information, and other outputs based on the data available to the Service.
These outputs are estimates and are not guarantees.
Actual demand, supplier performance, marketplace restrictions, shipping times, customer behavior, promotions, seasonality, product availability, platform reporting, and other business conditions may differ from the assumptions used by Stok Metrics.
You are responsible for reviewing recommendations and making final purchasing, pricing, stocking, supplier, and business decisions.
Stok Metrics is not responsible for stockouts, overstock, missed sales, supplier delays, inaccurate source data, marketplace changes, or purchasing decisions made based on the Service.
6. Purchase Order Drafts and Incoming Stock
Stok Metrics may allow you to generate purchase order drafts or supplier-ready order documents.
A PO draft is only a draft. It does not mean an order has been placed with your supplier.
Stock is treated as incoming only when you confirm that the supplier order was actually placed or when your uploaded data indicates inbound inventory.
You are responsible for reviewing all purchase order details, quantities, costs, supplier information, delivery dates, and terms before sending anything to a supplier.
Stok Metrics does not send orders to suppliers unless the Service specifically provides that feature and you authorize it.
7. CSV Imports and Data Accuracy
Stok Metrics relies on the accuracy and completeness of the files and information you upload.
You are responsible for verifying that your CSV files, mappings, inventory snapshots, sales exports, product lists, and supplier rules are correct.
If your data is outdated, incomplete, duplicated, incorrectly mapped, or inaccurate, the forecasts and recommendations may also be inaccurate.
8. Subscriptions, Trial, Billing, and Cancellation
Stok Metrics is offered as a paid subscription service.
Unless otherwise stated at checkout, the Starter plan is priced at $29 per month after the trial period.
We may offer a free or promotional trial, such as a 30-day trial. Trial terms will be shown at signup or checkout.
After the trial ends, your subscription may automatically convert to a paid monthly subscription unless you cancel before the end of the trial period.
You authorize us or our payment processor to charge your selected payment method for subscription fees, taxes, and any applicable charges.
You may cancel your subscription using the cancellation method provided in your account or by contacting us at support@stokmetrics.com. Cancellation will stop future billing, but it may not automatically refund amounts already paid unless required by law or stated in writing by Stok Metrics.
We may change pricing, plan features, or billing terms in the future. If we do, we will provide notice where required and the changes will apply as stated in the notice or at your next renewal.
9. Acceptable Use
You agree not to misuse the Service.
You may not:
- use the Service for unlawful purposes;
- attempt to access another user's account or data;
- interfere with the security or operation of the Service;
- upload malicious code, viruses, or harmful files;
- reverse engineer, copy, resell, or exploit the Service except as permitted by law;
- use the Service to create a competing product by copying its design, workflows, outputs, or functionality;
- upload data that you do not have the right to use;
- use automated scraping or abusive automated access without permission.
We may suspend or terminate access if we believe your use violates these Terms or creates risk for Stok Metrics, other users, or the Service.
10. Third-Party Platforms and Services
Stok Metrics may work with data exported from third-party platforms such as ecommerce platforms, marketplaces, payment processors, shipping tools, or other software systems.
Those third-party platforms are not controlled by Stok Metrics.
We are not responsible for the accuracy, availability, policies, fees, limitations, export formats, API behavior, or changes made by third-party platforms.
Your use of third-party platforms remains subject to their own terms and policies.
11. Privacy
Our collection and use of personal information is described in our Privacy Policy.
By using Stok Metrics, you agree that we may process personal information as described in the Privacy Policy.
12. Intellectual Property
Stok Metrics, including the software, website, workflows, interface, designs, text, graphics, templates, algorithms, reports, and related materials, is owned by Stok Metrics or its licensors.
These Terms do not transfer ownership of Stok Metrics to you.
We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your active subscription, subject to these Terms.
13. Feedback
If you provide suggestions, ideas, comments, or feedback about Stok Metrics, you allow us to use that feedback without restriction or compensation to you.
You agree that feedback you provide is voluntary and does not create any ownership claim in the Service.
14. Service Availability and Changes
We aim to keep Stok Metrics reliable and useful, but we do not guarantee that the Service will always be available, uninterrupted, error-free, or compatible with every file, browser, platform, or workflow.
We may modify, improve, suspend, or discontinue parts of the Service at any time.
We may also update features, reports, templates, calculations, forecasting methods, or workflows as the product evolves.
15. Beta or Early Access Features
Some features may be labeled beta, preview, early access, experimental, or similar.
These features may be changed, limited, or removed at any time and may be less reliable than general-release features.
You should review all outputs from beta features carefully before relying on them for business decisions.
16. Disclaimers
The Service is provided “as is” and “as available.”
To the fullest extent permitted by law, Stok Metrics disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
Stok Metrics does not guarantee that forecasts, reorder suggestions, PO drafts, stockout warnings, priority indicators, or reports will be accurate, complete, timely, or suitable for your specific business.
17. Limitation of Liability
To the fullest extent permitted by law, Stok Metrics will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost sales, lost data, business interruption, stockouts, overstock, supplier delays, or lost business opportunities.
To the fullest extent permitted by law, Stok Metrics' total liability for any claim related to the Service will not exceed the amount you paid to Stok Metrics for the Service during the three months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
18. Indemnification
You agree to defend, indemnify, and hold harmless Stok Metrics, its owners, officers, employees, contractors, and service providers from claims, damages, liabilities, losses, and expenses arising from:
- your use of the Service;
- your data;
- your violation of these Terms;
- your violation of another party's rights;
- your purchasing, supplier, inventory, or business decisions.
19. Termination
You may stop using Stok Metrics at any time.
We may suspend or terminate your access if you violate these Terms, fail to pay fees, create risk for the Service, or use the Service in a way that may harm Stok Metrics or others.
After termination, your right to use the Service ends. Certain sections of these Terms will continue to apply, including sections related to ownership, disclaimers, limitation of liability, indemnification, and dispute resolution.
20. Governing Law
These Terms are governed by the laws of Texas USA, without regard to conflict-of-law rules.
Any dispute related to these Terms or the Service will be handled in the courts located in Texas USA, unless applicable law requires otherwise.
21. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide notice by posting the updated Terms, sending an email, displaying an in-app notice, or using another reasonable method.
Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.
