Early Access Program Terms

1. Early Access Status and Experimental Nature

Stok Metrics is currently being made available on an early access basis to selected business entities.

The primary purpose of the Early Access Program is to test, validate, improve, and prepare Stok Metrics for broader commercial deployment.

You acknowledge and agree that the Service is experimental, incomplete, may contain bugs or coding errors, may produce inaccurate planning or forecasting results, may experience downtime, and may change significantly before general release.

Stok Metrics LLC is under no obligation to continue developing, supporting, maintaining, or commercializing any specific feature, workflow, forecast, report, integration, pricing plan, or interface layout.

2. Decision-Support Only

Stok Metrics provides inventory forecasting, reorder planning, purchase-order planning, projected stockout risk, demand estimates, and related information for decision-support purposes only.

You are solely responsible for independently reviewing and verifying all forecasts, reorder suggestions, projected quantities, supplier assumptions, purchase-order drafts, and other outputs before making any purchasing, inventory, supplier, pricing, operational, financial, or business decision.

Stok Metrics does not guarantee future sales, demand velocity, inventory optimization, stockout prevention, reorder accuracy, supplier performance, delivery timing, profitability, revenue, cost savings, or specific business outcomes.

3. Your Participation Responsibilities

You agree to:

• Use Stok Metrics solely for lawful internal business purposes.
• Review all system outputs before relying on them.
• Keep your account credentials secure.
• Provide accurate business and contact information.
• Promptly report bugs, errors, data calculations, security concerns, incorrect calculations, or confusing workflows via support@stokmetrics.com.
• Use reasonable efforts to provide feedback regarding your operational user experience.
• Not misuse, reverse engineer, scrape, copy, disrupt, interfere with, or attempt to gain unauthorized access to the Service or related systems.

4. Data Upload Rules and Liability

Stok Metrics is designed to process non-personal business planning data, such as sales dates, SKUs, inventory quantities, supplier records, lead times, costs, and reorder-planning information.

Unless explicitly agreed in writing, you agree not to upload:

• Customer names.
• Customer email addresses.
• Customer phone numbers.
• Shipping or billing addresses.
• Payment card information.
• Bank account information.
• Social Security numbers.
• Tax identification numbers.
• Government identification numbers.
• Health information.
• Children's data.
• Biometric data.
• Other sensitive personal information.
• Any personal data relating to individuals located in the European Union, European Economic Area, United Kingdom, or Switzerland.
• Any data you do not have the right to upload, process, or use.

You are responsible for reviewing and cleaning your CSV files before uploading them.

If you upload prohibited personal data or data you were not authorized to upload, you are responsible for resulting claims, regulatory inquiries, losses, costs, and expenses, including reasonable attorneys' fees, to the extent caused by your violation of this section.

5. Eligibility and Geographic Restrictions

The Early Access Program is currently available only to business entities located and operating within the United States.

You may not participate if you are located in, established in, or acting on behalf of a business located outside the United States, including the European Union, European Economic Area, United Kingdom, or Switzerland, unless Stok Metrics LLC expressly approves your participation in writing.

Stok Metrics LLC reserves the right to reject, suspend, or terminate any account if we determine the business is not eligible or is operating outside our intended geographic territory.

6. Feedback Ownership

You may provide comments, suggestions, ideas, feature requests, bug reports, business use cases, or other feedback to Stok Metrics LLC ("Feedback").

You agree that Stok Metrics LLC may use, modify, incorporate, and commercialize such Feedback without restriction, credit, attribution, or financial compensation to you.

All rights, titles, and interests in any improvements, proprietary formulas, workflows, interface layouts, software updates, documentation, business logic, algorithms, reports, or user-interface changes arising from or inspired by your Feedback belong exclusively to Stok Metrics LLC.

You agree not to claim ownership of Stok Metrics features, improvements, or product changes based on Feedback you provide.

7. Confidentiality

The Early Access Program grants you access to non-public software, layouts, forecasting workflows, testing pricing models, product roadmaps, documentation, product plans, business information, and other confidential or proprietary information of Stok Metrics LLC ("Confidential Information").

You agree not to disclose, publish, share, post, distribute, or make available any Confidential Information to any third party without our prior written permission.

This prohibition applies to sharing screenshots, interface recordings, private beta features, internal communications, product roadmap information, pricing tests, early access offers, non-public documentation, product performance comments, benchmark comparisons, or other confidential beta information on public or private online forums, social media channels, Discord servers, subreddits, messaging groups, or other channels.

You agree to protect Confidential Information using at least a reasonable standard of care.

Confidential Information does not include information that you can show was publicly available without breach of these Early Access Terms, already known to you without restriction, lawfully received from a third party without confidentiality obligations, or independently developed without use of Stok Metrics Confidential Information.

8. Publicity and Reviews

You may not publicly announce your participation in the Early Access Program, publish formal reviews, post public interface comparisons, issue press releases, or use Stok Metrics LLC's name, product name, screenshots, trademarks, or logos without our prior written consent.

Unauthorized publication of screenshots, recordings, reviews, comparisons, or confidential beta information may result in suspension or termination of your account.

Stok Metrics LLC will not use your company name, logo, testimonial, case study, feedback, or results in public marketing materials without your prior approval.

9. Support and Availability Disclaimers

Stok Metrics LLC may provide technical support during the Early Access Program at its sole discretion.

Support is not subject to any guaranteed response times, system uptime metrics, formal service-level agreements, or availability commitments unless separately agreed in writing.

The Service may be modified, interrupted, suspended, unavailable, reset, temporarily discontinued, or permanently discontinued at any time without prior notice.

10. Data Schema Changes, System Resets, and Retention

Because Stok Metrics is actively evolving, we may frequently modify database structures, file import formats, processing workflows, calculations, reports, and forecasting logic.

You acknowledge and agree that early access data may be corrected, reprocessed, migrated, reset, deleted, or made incompatible with later versions of the Service.

Stok Metrics LLC is not liable for any data loss or operational disruption resulting from a database change, account reset, import reset, migration, deletion, or product change.

You must maintain your own backup copies of all CSV source files, inventory records, supplier records, purchase orders, reports, and business records.

Stok Metrics should not be treated as your primary system of record during the Early Access Program.

11. AI and Automated Features

Stok Metrics may include or test automated recommendations, forecast explanations, AI-assisted features, chat-based assistance, or other decision-support tools.

Any such features are provided for informational and decision-support purposes only.

They may be incomplete, inaccurate, or inappropriate for your specific business situation.

You are responsible for reviewing and validating all AI-assisted or automated outputs before relying on them.

Stok Metrics LLC does not guarantee the accuracy, completeness, suitability, or business outcome of any AI-assisted or automated recommendation.

12. Payment and Founding Seller Offer

If you participate in a paid Early Access Program, Founding Seller offer, promotional plan, or discounted subscription, the applicable pricing, trial period, renewal terms, and duration of the offer will be stated at signup or in a separate written offer.

Eligible Founding Seller customers receive a 30-day free trial. If the customer elects to begin a paid subscription after the trial, the Founding Seller promotional rate is $19 per month for the first twelve (12) paid months. The free-trial period is not part of those twelve paid months.

This specific offer is strictly limited to the first fifty (50) approved early sellers, unless different terms are explicitly shown at signup.

The free trial does not automatically convert to a paid subscription and no subscription charge is made unless the customer elects to begin a paid subscription.

After that promotional period, the subscription will be offered at the Standard subscription price in effect at that time, unless different terms are shown at signup or agreed in writing by Stok Metrics LLC.

Stok Metrics LLC may change pricing for future customers, future plans, or future renewal periods according to the general Terms of Service and the specific offer terms presented to you at checkout.

13. No Warranties

THE EARLY ACCESS PROGRAM AND ALL RELATED SOFTWARE, FEATURES, FORECASTS, RECOMMENDATIONS, REPORTS, PROPRIETARY LOGIC, DOCUMENTATION, SUPPORT, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOK METRICS LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, TIMELINESS, AND UNINTERRUPTED OPERATION.

STOK METRICS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, COMPLETELY ACCURATE, DATA-INTEGRAL, OR SUITABLE FOR YOUR PARTICULAR BUSINESS NEEDS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOK METRICS LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST SALES, LOST BUSINESS OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, INVENTORY LOSSES, EXCESS INVENTORY, DEAD INVENTORY, STOCKOUTS, SUPPLIER DISPUTES, PURCHASING ERRORS, OPERATIONAL LOSSES, COST OF COVER, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO THE EARLY ACCESS PROGRAM, EVEN IF STOK METRICS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOK METRICS LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE EARLY ACCESS PROGRAM WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00 USD), OR (B) THE TOTAL AMOUNT YOU ACTUALLY PAID TO STOK METRICS LLC FOR THE EARLY ACCESS PROGRAM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE EXISTENCE OF MULTIPLE CLAIMS WILL NOT ENLARGE THIS LIMIT.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Stok Metrics LLC and its owners, officers, employees, contractors, service providers, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

• Your uploaded CSV data or other uploaded data.
• Your active use or misuse of Stok Metrics.
• Your violation of these Early Access Terms.
• Your violation of applicable law.
• Your buying, inventory ordering, supplier planning, pricing, or business decisions based on forecasts, reports, suggestions, or other outputs.
• Your unauthorized upload or processing of restricted personal data, customer identifiers, sensitive personal information, or data you were not authorized to use.

16. Suspension and Termination

Stok Metrics LLC may suspend or terminate your participation in the Early Access Program at any time, with or without notice, if we believe you violated these Early Access Terms, uploaded prohibited data, created legal, security, operational, or reputational risks, became ineligible, or if the Early Access Program is modified, paused, or discontinued by us.

You may stop using Stok Metrics at any time.

Upon termination, your right to access the software ends immediately.

Sections of these Early Access Terms which by their nature should survive termination will survive, including confidentiality, feedback ownership, upload responsibilities, disclaimers, limitation of liability, indemnification, payment obligations accrued before termination, and governing law.

17. Relationship to Other Terms

These Early Access Terms supplement the general Stok Metrics Terms of Service and Privacy Policy.

Your use of Stok Metrics is subject to these Early Access Terms, the Terms of Service, and the Privacy Policy.

If Stok Metrics LLC provides a separate written agreement signed by an authorized officer of both parties, that signed agreement will control strictly to the extent it conflicts with these Early Access Terms.

18. Changes to These Terms

Stok Metrics LLC may update these Early Access Terms from time to time.

Updated terms will be posted on our website or made available through the application dashboard.

Your continued use of Stok Metrics after updated terms become effective constitutes your acceptance of the updated terms.

19. Governing Law and Venue

These Early Access Terms are governed by, and construed in accordance with, the laws of the State of Texas, USA, without regard to conflict-of-law principles.

For any disputes arising under these Early Access Terms that are not resolved via the multi-step dispute process outlined in the general Terms of Service, both parties explicitly consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.
